Hi friends, In the US, a registered agent is a business or individual designated to receive service of process (SOP) when a business entity is a party in a legal action such as a lawsuit or summons. In some states the agent is also referred to as a resident agent just like Nevada resident agent or statutory agent, but most states have changed their statutes and now call this function "registered agent". The registered agent for a business entity may be an individual member of the company, or a third party, such as the organization's lawyer or a service company. Failure to properly maintain a registered agent can affect a company negatively.
When your entity is registered with the State there are a few names and addresses that they will require. First, they will want the names and addresses of the officers, members or managers that will be associated with your company. Second, the State will require that your entity has a resident agent. The resident agent MUST be a business or person who is located in the SAME STATE that the business is incorporated in. The resident agent must be accessible during normal business hours so that it can receive SOP on behalf of the entity. Some people have the idea that the resident agent will act as managers or officers "to the public eye". This is not the case. The resident agent is simply there to collect legal documents if and when delivered by a process server.
